Gemini launches its IPO and has filed an S-1 registration statement with the US SEC
According to Foresight News, Gemini announced the launch of its initial public offering (IPO) with plans to issue 16,666,667 shares of Class A common stock, based on an S-1 registration statement filed with the U.S. Securities and Exchange Commission (SEC). In connection with the offering, Gemini and the Disposal Shareholders plan to grant underwriters a 30-day option to purchase up to 2,396,348 shares and 103,652 shares of Class A common stock in response to the over-allotment. The initial offering price for the IPO is expected to be between $17.00 and $19.00 per share.
Gemini has applied for listing on the Nasdaq Global Select Market under the stock code "GEMI". Goldman Sachs & Co. LLC and Citigroup serve as lead underwriters. Morgan Stanley and Cantor also serve as lead underwriters. Evercore ISI, Mizuho, Truist Securities, Cohen & Company Capital Markets, Keefe, Bruyette & Woods, A Stifel, Needham & Company and Rosenblatt serve as underwriters. Academy Securities, AmeriVet Securities, and Roberts & Ryan serve as co-managers.
